Terms of Service

These Terms govern use of Sage's website, application, AI-assisted business tools, automations, and connected services.
1. Agreement and authority
By accessing or using Sage, you agree to these Terms and our Privacy Policy. If you use Sage for an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the service.
2. What Sage provides
Sage provides managed software for business operations, including AI-assisted knowledge retrieval, inbox and calendar workflows, drafting, scheduling, approvals, audit records, integrations, and automations. Available features depend on the customer's deployment and subscription. Sage may improve or change features while preserving materially contracted functionality.
3. Accounts and connected services
You must provide accurate account information, protect credentials, use only accounts and data you are authorized to access, and notify us of suspected compromise. When you connect Google or another third-party service, you authorize Sage to access and act on that service only within the permissions you grant and the Sage features you enable. Third-party services remain governed by their own terms. You can disconnect a service at any time, although related Sage functionality will stop.
4. Customer data and instructions
You retain your rights in information submitted to or accessed through Sage. You grant Sage the limited rights necessary to host, process, transmit, display, and create user-requested outputs from that information in order to provide, protect, and support the service. You are responsible for having a lawful basis and all required notices or permissions for data you place in Sage.
5. AI outputs, automations, and approvals
AI-generated summaries, classifications, suggestions, drafts, and plans may be incomplete or inaccurate. You must review outputs appropriate to their risk before relying on them. Sage includes approval controls for important actions, but customers remain responsible for configuring roles, permissions, integrations, and approval policies and for decisions made by authorized users. Do not use Sage as a substitute for professional legal, medical, financial, safety, or other expert judgment.
6. Acceptable use
You may not use Sage to break the law; violate another person's rights; access systems or data without permission; distribute malware; evade security controls; interfere with the service; send unlawful, deceptive, or abusive communications; generate prohibited surveillance or discrimination; or test Sage's security without written authorization. You may not resell or reverse engineer the service except where applicable law expressly allows it.
7. Fees and subscriptions
Paid services are governed by the applicable order, proposal, or subscription terms. Unless that agreement says otherwise, fees are due as invoiced, taxes are the customer's responsibility, and payment obligations already incurred are non-cancellable and non-refundable. A signed customer agreement controls if it conflicts with these online Terms.
8. Intellectual property and feedback
Sage and its licensors retain rights in the service, software, designs, documentation, and branding. Subject to these Terms and payment obligations, Sage grants customers a limited, non-exclusive, non-transferable right to use the service during the applicable term. If you provide feedback, Sage may use it without restriction or obligation, without identifying you or disclosing your confidential information.
9. Confidentiality and privacy
Each party will protect the other's non-public confidential information using reasonable care and use it only for the business relationship, except as authorized or legally required. Sage handles personal information as described in the Privacy Policy. Google user data is also subject to the Google API Services User Data Policy and Limited Use requirements described there.
10. Availability, suspension, and termination
We work to operate Sage reliably but do not promise uninterrupted availability. Sage may suspend access to address a security threat, unlawful use, material breach, nonpayment, or risk to the service or others. You may stop using Sage at any time. Contract customers may terminate according to their agreement. Sections that by their nature should survive termination—including ownership, payment, confidentiality, disclaimers, liability limits, and dispute provisions—will survive.
11. Disclaimers
To the fullest extent permitted by law, Sage is provided “as is” and “as available.” Sage disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that outputs are accurate or that the service will meet every requirement. Nothing in these Terms excludes a warranty that cannot legally be excluded.
12. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility. Sage's aggregate liability arising from the service will not exceed the amount the customer paid Sage for the service during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law or to liability that cannot legally be limited.
13. Changes, governing terms, and contact
We may update these Terms to reflect changes in the service, law, or risk. Material changes will be communicated through the service or other appropriate means. Continued use after the effective date means acceptance of the updated Terms. Applicable law and venue will be determined by the customer's signed agreement or, if none, by the law applicable to the Sage operator and customer relationship, without regard to conflict-of-law rules.
